THE SELLING PROCESS

Selling your educational business can be an emotive time; we aim to make the process as easy as possible for our clients.

Once you have decided to sell your business, it is likely you will want the process executed efficiently and within a required timescale.

We are used to taking the initial, often nervous call or email from business owners. We will send on our Vendor’s Information pack and arrange a meeting, normally organised for a time outside of trading hours, discretion at this stage being significant.

STC appraises businesses based on the detailed information provided, and produces a marketing strategy. The Information Memorandum (IM) is then prepared on its own discreet, secure microsite for the clients’ approval.

Upon authorisation, approved parties are granted access to the secured microsite, and first inspections are arranged at the business, again, out of trading hours.

Only following initial meetings, and on further instructions, is access to further detailed information made available in a dedicated area of the secure microsite: financial statements, pupil numbers by class breakdown, and anonymous staff lists, for instance.

After a reasonable timeframe, STC will invite offers from prospective purchasers and negotiate best terms on the client’s behalf.

We produce detailed heads of term for your approval prior to sending them out to all parties and professional advisors. It guarantees a smooth sale process, and STC is on hand every step of the way in liaison with the client’s professional team to conclude transactions as quickly and efficiently as possible.

As completion nears, we can advise on the actual handover process and the method by which parents and staff should be told. STC is not merely an introduction agency. We support our clients from start to finish and negotiate all aspects of the sale on their behalf.
